Terms & Conditions

These Terms and Conditions ("Terms") govern your use of the website usawebcoders.net and the services provided by USA Web Coders ("we," "our," or "us"), a digital agency located at 2241 W Miller Cir, Westland, MI 48186. By using our website or engaging our services, you agree to be bound by these Terms.

1. Services

USA Web Coders provides professional digital services including but not limited to: web design, web development, search engine optimization (SEO), digital marketing, and graphic design. The specific scope of work for each project is defined in a written proposal or project agreement provided before work begins.

2. Payment Terms

All prices are listed in US Dollars (USD). Our standard payment structure is as follows:

  • Deposit: 50% of the total project fee is due before work begins.
  • Final Payment: The remaining 50% is due upon project completion before final files or website access are delivered.
  • Monthly Services: For ongoing services (SEO, marketing), payment is due on the 1st of each month. Services are rendered in advance.

Payments are processed securely via Stripe. We accept all major credit cards and debit cards. Invoices not paid within 14 days of the due date may result in suspension of services. A late fee of 1.5% per month may be applied to overdue balances.

3. Project Process & Client Responsibilities

To deliver your project successfully, we require your cooperation throughout the process, including:

  • Providing all required content (text, images, logos) in a timely manner
  • Responding to questions and providing feedback within 3 business days
  • Providing access to required accounts (hosting, domain, existing CMS)
  • Designating one primary point of contact for the project

Delays caused by failure to provide required content or timely feedback may extend project timelines. USA Web Coders is not liable for delivery delays caused by client inaction.

4. Revisions

Each project includes a specified number of revision rounds as outlined in your proposal. Additional revisions beyond those included will be billed at $75/hour. Revision requests must be submitted within 7 days of receiving a deliverable. Deliverables not reviewed within 7 days are considered accepted.

5. Intellectual Property & Ownership

Upon receipt of final payment, you receive full ownership of the completed website design and custom graphics created specifically for your project. This does not include:

  • Third-party themes, plugins, stock images, or software licensed separately
  • Proprietary tools or frameworks developed by USA Web Coders
  • Template designs not custom-built for your project

USA Web Coders reserves the right to display completed projects in our portfolio and marketing materials unless you request otherwise in writing.

6. Confidentiality

We treat all client information as confidential. We will not share your business information, project details, or proprietary data with any third party except as required to deliver our services or as required by law.

7. Third-Party Services

Our services may involve third-party platforms including WordPress, Shopify, Google, Meta, Stripe, and others. We are not responsible for changes to or the availability of these third-party platforms. Costs associated with third-party software licenses, hosting, or advertising spend are the client's responsibility unless otherwise specified in the project proposal.

8. Warranties & Disclaimers

We warrant that our services will be performed in a professional manner. However, we do not guarantee specific results such as Google rankings, traffic levels, or revenue increases, as these depend on many factors beyond our control.

Our website and services are provided "as is" without warranties of any kind beyond those explicitly stated in your project agreement.

9. Limitation of Liability

USA Web Coders' total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim. We are not liable for any indirect, incidental, consequential, or special damages, including loss of revenue or profits.

10. Cancellation Policy

You may cancel a project at any time by providing written notice to info@usawebcoders.net. Upon cancellation:

  • Any work completed to date will be billed at our hourly rate of $75/hour.
  • If the billed amount is less than your deposit, the remainder will be refunded.
  • If the billed amount exceeds your deposit, you will be invoiced for the difference.
  • Monthly service subscriptions require 30 days written notice to cancel.

11. Governing Law

These Terms are governed by the laws of the State of Michigan, United States. Any disputes shall be resolved in the courts of Wayne County, Michigan.

12. Changes to These Terms

We reserve the right to update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
